Legal
Terms and Conditions.
How we work together.
These terms govern the use of talasobrandlab.com, our client tools and the services Talaso BrandLab provides. They are written to be read, not to be skipped.
1. Who we are
Talaso BrandLab is the trading name of Manel Pérez, a sole trader established in Ireland at 39 Skelligs Court, Dublin 15, D15 Y191. We provide branding, web design, SEO and website maintenance services to businesses in Ireland, Spain and elsewhere. You can reach us at mperez@talasobrandlab.com.
In these terms, "we", "us" and "Talaso" mean Talaso BrandLab, and "you" means the person or business using our website, tools or services.
2. Acceptance of these terms
By browsing talasobrandlab.com, requesting a free audit, logging into the client portal, signing a document through our signing tool or engaging our services, you accept these terms. If you do not agree with them, please do not use the website or the tools.
Our Privacy Policy explains how we handle personal data and forms part of these terms.
3. Use of the website
talasobrandlab.com is provided for information about our services and our portfolio. You may browse it freely. You may not:
- copy, scrape or republish its content, design or code without written permission, beyond what is needed to view the pages;
- attempt to gain unauthorised access to the server, the client portal, the signing tool or any internal system;
- submit forms with false information, or on behalf of someone who has not authorised you;
- use the site in a way that damages it, overloads it or interferes with other visitors.
The portfolio shows work we have done for clients. Client names, logos and screenshots remain the property of those clients and appear with their agreement.
We try to keep the information on the site accurate and current, but it is provided as general information and not as professional advice for your specific situation. Prices shown on the site are indicative and do not constitute a binding offer until confirmed in a written proposal.
4. Free SEO audit and client portal
The free audit offered on talasobrandlab.com/audits is a preliminary analysis based on public data about your website. It is meant to show you where you stand and what could be improved. It is not a guarantee of results and it does not replace a full paid strategy.
When you request an audit, we create an account for you on clientes.talasobrandlab.com and publish the report there. You agree to:
- request the audit only for a website you own or are authorised to represent;
- keep your access details confidential and tell us if you think they have been compromised;
- use the reports for your own business and not resell or redistribute them.
We may decline or delay a request if the website is unrelated to a real business, if the request appears to be automated or if our capacity is full. We may close accounts that have been inactive for a long time, after giving notice by email.
5. Electronic signing tool
We use our own signing tool at firmas.talasobrandlab.com to sign proposals and contracts. The link you receive is personal and gives access only to the document prepared for you. By requesting the verification code, entering it and pressing sign, you:
- confirm that you are the person named in the document, or that you are authorised to sign on behalf of the named company;
- agree that your hand-drawn signature, the verification code sent to your email and the technical record of the session together constitute your electronic signature;
- agree that this signature has the same effect as a handwritten one, as permitted by the eIDAS Regulation (EU) 910/2014 and the Irish Electronic Commerce Act 2000.
The signature produced is an advanced electronic signature, not a qualified one. The signed PDF and its audit certificate are sent to both parties and kept by us as evidence of the agreement. If you receive a signing link you were not expecting, do not use it and let us know.
6. Services, proposals and payment
6.1 Proposals
Every project starts with a written proposal that describes the scope, deliverables, timeline and price. The proposal, once signed, together with these terms, forms the contract between us. If the proposal and these terms conflict, the proposal prevails for that project.
6.2 Your obligations
You agree to provide the content, access, feedback and approvals we need within reasonable time. Delays on your side move the timeline accordingly. You confirm that any material you give us (text, images, logos, data) is yours to use or that you have the rights to it.
6.3 Payment
Unless the proposal says otherwise, projects are invoiced with a deposit before work starts and the balance on delivery. Recurring services such as maintenance or SEO are invoiced monthly in advance. Invoices are due within 14 days. Late payments may be charged statutory interest under the European Communities (Late Payment in Commercial Transactions) Regulations 2012, and we may pause work until the account is settled.
6.4 Revisions and acceptance
Each proposal states how many rounds of revisions are included. Additional work outside the agreed scope is quoted separately. A deliverable is considered accepted when you approve it in writing or when you put it into use, whichever comes first.
6.5 Results
We work with method and care, but we do not guarantee search rankings, traffic figures, sales or any other specific commercial outcome. Search engines and advertising platforms are outside our control.
7. Intellectual property
Once the project is paid in full, you own the final deliverables created for you: the brand identity, the website design and the content we wrote for you. We keep the right to show the work in our portfolio and marketing unless you ask us in writing not to.
We retain ownership of our working files, preliminary concepts that were not chosen, internal tools, code libraries and know-how. Third-party elements such as fonts, stock images, plugins and themes remain subject to their own licences, which we will identify in the proposal or the handover.
8. Third-party platforms and accounts
Websites and campaigns depend on services we do not control: hosting providers, domain registrars, WordPress, Google, Meta, Cloudflare, payment processors and similar. Their terms apply to you directly. If you give us access to your accounts on those platforms, we use that access only for the agreed work and we recommend that you revoke it when the project ends. We are not responsible for outages, policy changes or price changes on those platforms.
9. Backup application and Google Drive
Talaso BrandLab operates an internal backup application, that copies data to Google Drive every night using the Google Drive API through the open-source tool rclone and our own Google API client, "rclone Talaso", both on the server and on the work computer. This section describes the terms under which that application is used.
Purpose: to keep an off-site copy of our own data so that client work and records are not lost if a machine fails. Two copies run daily: one from our server (databases, documents uploaded to our tools, configuration) and one from the founder's work computer (project folders, which may include material clients have shared with us).
Users: the application is used exclusively by Talaso BrandLab and connects only to the Google account of its founder. It is a single-user internal tool: it is not offered to the public, and no client or third party is asked to authorise it or can access it.
Permissions: on both the server and the work computer the application has full Google Drive access (scope drive), used solely to read, write and delete the backup folders ("VPS backups" and "Claude importante"). Nothing restricts it technically to those folders.
Data handled: compressed backup archives. They may contain personal data of clients and prospects as described in our Privacy Policy. Server archives older than thirty days are deleted automatically.
Google's terms: the application's use of Google APIs is subject to the Google APIs Terms of Service and the Google API Services User Data Policy. Google Drive is provided by Google LLC in the United States; the transfer is covered by the EU-US Data Privacy Framework and Standard Contractual Clauses.
If you are a client and want to know whether your data is included in these backups, or want it removed, contact us and we will tell you exactly what is stored and for how long.
10. Liability
Nothing in these terms limits liability for death, personal injury, fraud or anything else that cannot be limited under Irish law.
Subject to that, our total liability for any project is limited to the amount you paid us for that project in the twelve months before the claim. We are not liable for indirect losses such as lost profits, lost data on systems we do not manage, or business interruption. The website, the client portal and the signing tool are provided "as is"; we do our best to keep them available and secure but we cannot promise uninterrupted service.
You are responsible for keeping your own backups of any content and credentials we deliver to you.
11. Termination
Either party may end a project by giving written notice. You pay for the work completed up to that date, and any deposit already paid is not refunded once work has started. Recurring services can be cancelled with one month's notice. We may end a project immediately if invoices are more than 30 days overdue, if you ask us to do something unlawful, or if the working relationship breaks down. On termination we hand over the work paid for and delete or return your materials on request, except what we must keep by law.
12. Governing law
These terms are governed by the laws of Ireland. Any dispute will be subject to the jurisdiction of the Irish courts, without prejudice to the rights of consumers to bring proceedings where they live. Before going to court we will try to settle any disagreement directly, in good faith.
13. Changes to these terms
We may update these terms when our services change. The version and date at the top of the page tell you which one applies. Projects already under way continue under the terms in force when the proposal was signed, unless we agree otherwise in writing.
